Terms of Service
Effective 2026-05-06. Applies to Noisedeck, Groundsquirrel Cloud, Shuffleset, and other services operated by Noise Factor LLC ("we", "us").
1. Acceptance
By creating an account or using any of our services, you agree to these Terms. If you do not agree, do not use the services.
2. Eligibility
You must be at least 13 years old to create an account. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account responsibilities
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You agree to provide accurate registration information and keep it current.
- Notify us promptly of any unauthorized use of your account.
4. Acceptable use
You agree not to use the services to host, distribute, link to, proxy, or otherwise make available:
- Unlawful content. Anything illegal under U.S. federal law, the laws of the State of Colorado, or the laws of the jurisdiction the content is served to. Includes (without limitation) child sexual abuse material, threats of violence, content that facilitates human trafficking, or content that violates export-control or sanctions laws.
- Material you do not own or are not licensed to distribute. Copyrighted works, trademarked material, ROMs, cracked or pirated software, key generators, leaked databases, and content protected by exclusive distribution agreements you are not party to. Verifying ownership of an upstream URL once does not authorize you to later serve material you do not have rights to. Repeat or willful infringers will be terminated without warning, on the first valid notice — there is no strike system.
- Adult or sexual content, including pornography, nude or sexually explicit imagery, escort or sex-work advertising, fetish material, and AI-generated equivalents, regardless of the depicted subjects' age or apparent age. This is a flat ban; we are not an adult-content host.
- Hateful, harassing, or violent content targeting people on the basis of race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or veteran status; doxxing; coordinated harassment; content celebrating or inciting violence against groups or individuals.
- Content prohibited by our payment processor. Anything on the Stripe Restricted Businesses list — gambling, certain regulated pharmaceuticals, multi-level marketing, get-rich-quick schemes, etc. If Stripe won't process it, we won't host it.
- Malware, spam, or abuse infrastructure. Viruses, worms, trojans, credential-stuffing tools, phishing kits, command-and-control servers, bulk unsolicited messaging, or services whose primary purpose is to abuse or compromise other systems.
- Proxying third-party content. Using proxy mode to redirect, rewrite, or otherwise serve content fetched from third-party sources you do not control.
- System abuse. Attempting to gain unauthorized access to any account, system, or data; interfering with or disrupting the integrity or performance of the services; reverse-engineering or extracting source code, except as permitted by law.
We may suspend or terminate access for violations of this section immediately and without notice. Our judgment of what falls under this section is final. We respond to valid takedown notices under our DMCA Policy.
5. Subscriptions and billing
- Paid plans are billed in advance, on a recurring basis (monthly or annually, as selected).
- Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before renewal.
- Payment processing is handled by Stripe; we do not store full payment card details.
- Prices may change. We will give at least 30 days' notice before any price increase to existing subscribers.
6. Cancellation and refunds
You may cancel a subscription at any time from your account dashboard with no fee. Cancellation stops all future charges; your access continues through the end of the billing period you have already paid for. Subscription fees are non-refundable for unused time. Exceptions (duplicate charges, extended service unavailability caused by us, or other unusual circumstances) may be granted at our sole discretion. See the Cancellation Policy for details.
7. Your content
You retain all rights to content you upload, configure, or generate using the services ("Your Content"). By using the services, you grant us a limited license to host, store, and transmit Your Content as needed to operate the services. We do not claim ownership of Your Content.
8. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (e.g., Stripe, AWS), or unforeseen incidents may cause downtime.
9. Disclaimer of warranties
The services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the services is limited to the amount you paid us during the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
11. Termination
We may suspend or terminate your access at any time for material breach of these Terms or for non-payment. You may terminate by cancelling your subscription and deleting your account at any time.
12. Modifications
We may update these Terms from time to time. Material changes will be announced by email and on this page; continued use after the effective date of an update constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Denver County, Colorado.
